5.2 Pricing and Payment

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable taxes, delivery fees, or other charges, which will be calculated and disclosed to you prior to completing your order.

You agree to pay all charges associated with your order, including the cost of items, applicable taxes, delivery fees, service charges, and any other fees displayed at checkout. Payment must be made at the time of order placement using one of the accepted payment methods available on the Site.

5.3 Refunds and Cancellations

Our refund and cancellation policy is as follows: You may cancel an order within a limited time window before it is prepared or dispatched, as indicated during the ordering process. Once food preparation has begun or an order has been dispatched for delivery, cancellations may not be possible.

We will review your complaint and, at our sole discretion, may offer a replacement, credit, or refund as appropriate. Refunds, where applicable, will be issued to the original payment method within five (5) to ten (10) business days.

You may cancel your subscription at any time, subject to the cancellation terms detailed in your subscription agreement. 6. Food Safety, Allergens, and Dietary Information

You agree to defend, indemnify, and hold harmless Hangry Joe's, its affiliates, licensors, service providers, employees, agents, officers, directors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

You hereby irrevocably consent to such jurisdiction and waive any objection to the laying of venue in such courts.

In connection with your use of our Services, you agree to comply with all applicable federal laws and regulations, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the CAN-SPAM Act, the Electronic Communications Privacy Act, and all applicable state consumer protection laws. California residents may also have rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), which are addressed in our Privacy Policy.

13. Dispute Resolution and Arbitration

13.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH HANGRY JOE'S AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

Except for disputes that qualify for small claims court, and except as otherwise provided in these Terms, you and Hangry Joe's agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any products or services provided by us, including any question regarding their existence, validity, or termination, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org.

13.2 Waiver of Class Action

YOU AND HANGRY JOE'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. Unless both you and Hangry Joe's agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

13.3 Arbitration Procedures

Any arbitration shall be conducted in English. The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether any dispute is subject to arbitration. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.4 Informal Dispute Resolution

Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may initiate arbitration proceedings as described above.

13.5 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm to intellectual property rights, confidential information, or in cases of emergency. Nothing in this section shall prevent either party from filing a claim in small claims court for disputes that fall within the jurisdictional limits of such court.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use our Services. We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Services at any time and for any reason, including but not limited to:

• Violation of any provision of these Terms;
• Engaging in any prohibited activity described herein;
• Providing false or misleading information in connection with your account or orders;
• Non-payment or fraudulent payment activity;
• Any conduct that we determine, in our sole discretion, to be harmful to us, other users, or third parties;
• As required by applicable law or regulatory authority.

Upon termination for any reason:

• Your right to access and use the Services shall immediately cease;
• We may delete your account and all associated data, subject to our data retention policies;
• Any outstanding payment obligations shall remain in effect;
• All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

Hangry Joe's shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government actions or regulations, civil disturbances, strikes or labor disputes, supply chain disruptions, power or internet outages, or other events of force majeure. In the event of a force majeure event, we will use commercially reasonable efforts to notify affected customers and to resume normal operations as soon as reasonably practicable.

By using our Services, you consent to receive electronic communications from us, including via email, text message (where you have opted in), or notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
